Terms of Service

Welcome to ResourcePlus Online ("ResourcePlus", "the Platform", "we", "our", or "us").

ResourcePlus is the flagship HR, Payroll, Workforce Management, and AI-powered enterprise platform provided by NSP Global Solutions, the regional arm of NSP Solutions Private Limited (NetSoftPro).

These Terms of Service ("Terms") govern your access to and use of ResourcePlus, including our websites, cloud services, mobile applications, APIs, customer portals, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

1. About ResourcePlus

ResourcePlus is an enterprise software platform designed to help organizations manage Human Resources, Payroll, Attendance, Leave, Workforce Management, Employee Self-Service, AI-powered automation, and related business operations.

Services are provided by NSP Global Solutions.

2. Eligibility

You may use the Services only if:

• You are legally authorized to enter into a binding agreement.
• You are acting on behalf of a business or organization, or for your personal business use where applicable.
• You comply with all applicable laws and regulations.

If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. User Accounts

Customers are responsible for:

• Maintaining the confidentiality of login credentials.
• Restricting access to authorized users.
• Promptly notifying us of any unauthorized access or suspected security incident.
• Ensuring that all account information remains accurate and up to date.

You are responsible for all activities carried out using your account.

4. Subscription Plans

ResourcePlus offers various licensing models, including:

• Monthly Subscription
• Annual Subscription
• One-Time Perpetual License
• Cloud Deployment
• On-Premise Deployment

The features available depend on the purchased edition, selected modules, and applicable commercial agreement.

5. Orders and Agreements

All purchases are subject to the applicable:

• Sales Agreement
• Subscription Agreement
• Quotation
• Purchase Order
• Master Service Agreement (MSA)
• Statement of Work (where applicable)

In the event of any conflict between these Terms and a separately executed written agreement, the written agreement shall prevail.

6. Fees and Payments

Customers agree to pay all applicable fees in accordance with the agreed commercial terms.

Recurring subscriptions may be renewed automatically unless cancelled in accordance with the applicable agreement.

Failure to make payment may result in suspension or termination of access to the Services.

7. Use of the Services

Customers agree to use ResourcePlus only for lawful business purposes.

You must not:

• Attempt unauthorized access to any system or account.
• Interfere with platform security or availability.
• Introduce malicious software or harmful code.
• Reverse engineer, decompile, or modify the software except where permitted by law.
• Use the Services in violation of applicable laws.

8. Intellectual Property

All intellectual property rights in ResourcePlus, including but not limited to:

• Software
• Source Code
• User Interface
• Logos
• Trademarks
• Documentation
• AI Models
• Product Content

remain the exclusive property of NSP Global Solutions and/or its licensors.

These Terms do not transfer ownership of any intellectual property to the customer.

9. Customer Data

Customers retain ownership of the business data they upload into ResourcePlus.

By using the Services, customers grant NSP Global Solutions the limited rights necessary to host, process, back up, and manage such data solely for the purpose of providing the Services.

We do not claim ownership of customer business data.

10. Artificial Intelligence Features

ResourcePlus may include AI-powered capabilities to enhance productivity, automation, and decision-making.

AI-generated responses and recommendations are intended to assist users and should be reviewed before being relied upon for business, legal, financial, or employment decisions.

Customers remain responsible for decisions made using AI-assisted outputs.

11. Service Availability

We strive to maintain high service availability.

However, access to the Services may occasionally be interrupted due to:

• Scheduled maintenance
• Emergency maintenance
• Security updates
• Internet connectivity issues
• Third-party service interruptions
• Events beyond our reasonable control

We will use reasonable efforts to minimize service disruptions.

12. Support Services

Standard technical support is provided during published business hours.

Support services are governed by our Support Policy and any applicable support agreement.

Premium support services may be available under separate arrangements.

13. Confidentiality

Each party agrees to maintain the confidentiality of non-public business information received from the other party and to use such information solely for the purposes of the business relationship.

This obligation survives termination of the Services.

14. Limitation of Liability

To the maximum extent permitted by applicable law, NSP Global Solutions shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or business interruption arising from the use of the Services.

The total liability of NSP Global Solutions under these Terms shall not exceed the amount paid by the customer for the Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim, unless otherwise required by applicable law.

15. Suspension and Termination

We may suspend or terminate access to the Services where:

• These Terms are materially breached.
• Fees remain unpaid beyond the applicable payment terms.
• The Services are used unlawfully.
• Continued access would pose a security or legal risk.

Customers may terminate subscriptions in accordance with their applicable commercial agreement.

Termination does not automatically relieve either party of obligations that have already accrued.

16. Indemnification

Customers agree to indemnify and hold harmless NSP Global Solutions, its employees, officers, affiliates, and partners against claims arising from:

• Misuse of the Services.
• Violation of these Terms.
• Infringement of third-party rights.
• Unlawful use of customer-provided content.

17. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, government actions, cyber incidents, labor disputes, utility failures, or interruptions affecting telecommunications or cloud infrastructure.

18. Changes to the Services

NSP Global Solutions may modify, improve, or discontinue features of the Services from time to time to enhance functionality, security, legal compliance, or customer experience.

Where practicable, customers will be notified of material changes.

19. Changes to These Terms

We may update these Terms periodically.

The latest version will always be published on ResourcePlus Online.

Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law principles.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Kingdom of Saudi Arabia, unless otherwise agreed in writing.
